Services in detail

Our Corporate & Commercial services

Each matter is scoped to what you need. You can instruct us on a single item below or on a wider mandate.

1

Corporate Governance

Advice to boards and shareholders on directors' duties, board and general meeting procedure, related-party approvals and governance suited to the company's size and ownership.

Governance questions tend to surface when a board grows, an investor joins or a decision is challenged. We look at how authority really flows inside the company and bring board practice into line with the Companies Act 2017 and the articles. Directors get specific advice on their duties in the situation in front of them, along with procedures the board can follow consistently.

What's included

  • Reviewing the articles of association against current board and shareholder practice
  • Advising directors on conflicts of interest and related-party approvals
  • Preparing board charters, delegation of authority matrices and committee terms
  • Guiding the conduct of board meetings and general meetings

2

Business Structuring

Setting up new ventures, holding companies and subsidiaries so that control, liability, tax and future fundraising are considered together.

Structure becomes a real question when a business launches a new line, takes on partners or plans to raise outside capital. Our job is to decide where ownership, liability and control should sit across the entities involved. Tax advisers are brought in early so the corporate design and the tax position point the same way, and the structure can absorb growth without constant rework.

What's included

  • Comparing holding company, subsidiary and branch options for a new venture
  • Ring-fencing liabilities between operating businesses and asset-holding entities
  • Designing ownership layers that leave room for investors or family succession
  • Coordinating structural choices with tax, licensing and banking requirements

3

Shareholder Arrangements

Shareholders' agreements and articles of association dealing with reserved matters, transfer restrictions, deadlock and exit.

The easiest time to document a shareholder relationship is before any tension appears: at incorporation, on a new investment or when ownership changes. We draft agreements that capture the commercial bargain between the owners. Key protections are then mirrored in the articles, so they bind the company and future shareholders as well as the people who originally signed.

What's included

  • Defining reserved matters that need investor or unanimous shareholder consent
  • Drafting pre-emption, tag-along, drag-along and first refusal provisions
  • Building deadlock procedures and valuation mechanisms for shareholder exits
  • Amending the articles so shareholder protections can be enforced against the company

4

Mergers, Acquisitions & Transactions

Legal due diligence, share and asset purchase agreements, and completion support for acquisitions, disposals and strategic investments.

Buying or selling a business in Pakistan carries legal risk that is often buried in corporate records, contracts and licences. Due diligence is scoped to the size and nature of the deal. We then negotiate the purchase documents and manage the approvals and filings needed to complete. If competition clearance or foreign exchange formalities apply, they go into the timetable at the outset rather than surfacing at the end.

What's included

  • Legal due diligence on corporate records, contracts, property and disputes
  • Negotiating warranties, indemnities and conditions precedent in purchase agreements
  • Assessing whether Competition Commission of Pakistan or sector regulator approval is needed
  • Coordinating completion deliverables, share transfers and post-closing SECP filings

5

Commercial Contracts

Distribution, supply, agency, services, licensing and outsourcing agreements that allocate risk clearly and can be enforced in Pakistan.

Appointing a distributor, engaging a supplier or outsourcing part of the operation all depend on a contract that holds up. We draft agreements that match how the arrangement works on the ground and that a Pakistani court or arbitrator can enforce. Payment mechanics, liability and exit rights get particular attention, since those are the terms most often fought over later.

What's included

  • Drafting distribution, agency and supply agreements with clear territory and exclusivity terms
  • Setting liability caps, indemnities and warranties that reflect the commercial risk
  • Testing termination, renewal and post-termination obligations for workability
  • Advising on stamping, governing law and dispute resolution clauses

6

Joint Ventures

Contractual and incorporated joint ventures: what each party contributes, who manages, how profits are shared and how the venture ends.

Joint venture partners bring different strengths to the table, and usually different expectations about control and returns. The first decision is whether the venture should be contractual or run through a jointly owned company. Contributions, management and profit sharing are then documented, with careful thought given to how the venture will be unwound, because the exit is where most joint ventures come apart.

What's included

  • Advising on contractual versus incorporated joint venture structures
  • Documenting cash, asset, licence and know-how contributions from each partner
  • Allocating board seats, management roles and decision-making thresholds
  • Drafting exit routes, buy-out options and the consequences of termination

7

Share Capital Matters

Allotments, transfers, increases in authorised capital and buy-backs, with the SECP filings each step requires under the Companies Act 2017.

Share capital changes when a company raises money, admits a shareholder or returns value to its members. Each of those steps has its own procedure under the Companies Act 2017 and a matching SECP filing. We put the approvals in the right order, prepare the corporate documents and check that the share register reflects the true position once the change is complete.

What's included

  • Preparing resolutions for further issues of shares and increases in authorised capital
  • Documenting share transfers, including instruments of transfer and register entries
  • Advising on the procedure for share buy-backs and reductions of capital
  • Filing the related returns and forms on the SECP eServices portal

8

Group Reorganisations

Mergers, demergers and transfers of businesses within a group, including schemes of arrangement where court or regulatory sanction is required.

Groups reorganise to simplify their structure, separate a business for sale or consolidate operations after a period of growth. The steps have to be planned so that contracts, licences, employees and assets move as intended. Where a merger or demerger needs a scheme of arrangement, Sutra Law prepares the scheme and supporting papers and handles the court or regulatory sanction the law requires.

What's included

  • Mapping the current group structure and identifying constraints on transfer
  • Preparing schemes of arrangement for mergers, demergers and amalgamations
  • Reviewing change-of-control and assignment clauses in key contracts and licences
  • Coordinating the employee, property and tax aspects of business transfers

9

Corporate Secretarial Support

Resolutions, minutes, statutory registers and the other corporate records that banks, investors and regulators ask to see.

Corporate records matter the moment a bank, investor or regulator asks to see them. We help companies record decisions properly and keep statutory registers current, so that authority for a significant act can be shown without reconstructing it after the event. The service suits companies with no in-house secretarial function, and those whose records have slipped behind.

What's included

  • Drafting board and shareholder resolutions for routine and significant decisions
  • Preparing minutes that accurately record discussion and approvals
  • Maintaining registers of members, directors and beneficial ownership
  • Assembling certified extracts and records for banks and counterparties

9 areas of work

Most important decisions in a company are corporate law decisions, even when nobody calls them that. Who controls the board, how new money comes in, what happens when a shareholder wants out, how much risk the business accepts in a supply contract. The Companies Act 2017 and SECP regulations set the outer limits. The detail that actually governs the company sits in its articles of association, board resolutions, shareholder agreements and contracts, and that is where most of our work happens.

Our clients include private companies, family groups, startups, Pakistani subsidiaries of foreign businesses and shareholders in listed companies. The work ranges from a share transfer between family members to a disagreement over related-party approvals, due diligence on an acquisition target or a renegotiated distribution agreement. When a matter also touches tax, employment, intellectual property or a sectoral licence, we deal with those points in the same piece of advice instead of leaving the client to reconcile separate opinions.

Clients get a recommendation, not a survey of the law. We set out the realistic options, what each one exposes the business to and what has to happen to put the decision into effect, from the board resolution through to the SECP filing. Documents are drafted around how the company operates day to day, so the board can actually follow them.

When clients come to us

Questions we are often asked to resolve

  1. 1

How should control be divided between founders, family members and a new investor?

  2. 2

Our articles were adopted at incorporation and the company has changed since. Do they still work?

  3. 3

What should we check before buying the shares or assets of a Pakistani business?

  4. 4

Can we restructure the group without upsetting contracts, licences or tax positions?

  5. 5

A shareholder wants to exit. What are our rights, and how are the shares valued and transferred?

  6. 6

Our main commercial contracts were drafted years ago. Where are we exposed now?

How we help

A considered, practical approach

  1. 01

    Start with the business

We look first at the commercial objective, who owns what and the documents already in place. Advice that ignores how a company really works rarely survives contact with it.

  2. 02

    Identify the rules that apply

We pin down the provisions of the Companies Act 2017, SECP requirements, sector rules and existing contractual restrictions that bear on the decision.

  3. 03

    Advise, then draft

You receive the options and their risks in plain terms. Once a route is chosen, we draft or negotiate the resolutions, agreements and filings to implement it.

  4. 04

    See it through

We help complete approvals, filings and closing steps, and stay available for the governance and contract questions that follow.

Key considerations

What to weigh before you act

  • 1The articles of association are the company's constitution. A protection that appears only in a shareholders' agreement may be hard to enforce against the company or against someone who buys shares later.
  • 2Directors owe statutory duties under the Companies Act 2017. Related-party dealings and conflicts of interest usually need specific disclosure and approval before the company proceeds.
  • 3Changes in shareholding, directors, capital and registered particulars generally have to be reported to the SECP within the prescribed time, and late filing can attract penalties.
  • 4Where a non-resident invests, foreign exchange rules administered by the State Bank of Pakistan may govern how capital comes in and how it is later repatriated.
  • 5Larger mergers and acquisitions may need Competition Commission of Pakistan clearance before completion if the applicable thresholds are met.

FAQ

Corporate & Commercial: common questions

Answers to the questions clients ask most often. Every matter turns on its facts.

Still have a question?

Speak with Sutra Law directly.

1What does a corporate lawyer do for a business in Pakistan?

A corporate lawyer advises on how a business is owned, run and financed, and documents the relationships that matter most to it. In practice our work covers board and governance advice, shareholder agreements, share transfers, restructurings, acquisitions and commercial contracts. We also prepare the SECP filings and corporate approvals that make a decision legally effective under the Companies Act 2017.

2Do we need a shareholders' agreement if we already have articles of association?

Usually yes, if the company has more than one owner. The articles are a public document and are often adopted in standard form at incorporation. A shareholders' agreement records the private bargain between the owners on matters such as reserved decisions, transfer restrictions, deadlock and exit. Draft the two together so that the key protections appear in both.

3How long does an acquisition of a Pakistani company usually take?

There is no standard timetable, because it turns on the size of the target, the depth of due diligence and the approvals involved. A simple private share purchase can close relatively quickly. Deals that need Competition Commission clearance, a sector regulator's consent or foreign exchange formalities take longer. Once we have seen the structure, we give you a realistic timetable.

4Can Sutra Law advise foreign investors on investing in a Pakistani business?

Yes. We advise foreign investors on structuring the investment, carrying out legal due diligence, negotiating transaction documents and completing corporate formalities in Pakistan. Part of that work is flagging foreign exchange requirements, sector restrictions and approvals early. We also work alongside tax advisers so that repatriation of returns and an eventual exit are planned from the outset.

5What should a company check before signing a major commercial contract?

Check that the person signing for the other side has authority, that the obligations and payment terms are clear, and that the liability, termination and dispute clauses would work if things went wrong. Then look inward: does the contract need board approval, stamping or registration, and does it conflict with anything the company has already signed? A short review before signature costs far less than a dispute afterwards.
